Dangote Petroleum Refinery and Petrochemicals has announced the successful completion of a US$2.5 billion private equity placement, marking Africa’s largest publicly disclosed primary private equity fundraising by value. The landmark transaction attracted overwhelming investor interest, with subscriptions reaching 3.7 times the amount initially offered, underscoring strong confidence in the refinery’s long-term growth prospects and strategic importance to Africa’s energy sector.
The capital raise significantly strengthens the refinery’s balance sheet and provides funding for the next phase of its expansion programme. According to the company, the proceeds will be used to increase refining capacity, expand petrochemical production, and support investments that will enhance operational efficiency and reinforce the refinery’s position as one of the world’s largest integrated refining complexes.
The refinery plans to increase its crude processing capacity from 650,000 barrels per day (bpd) to approximately 1.4 million bpd by 2028, a move that would make it one of the largest refining facilities globally. The expansion will also include increased production of petrochemical products such as polypropylene, enabling the company to meet rising domestic and export demand while reducing Africa’s dependence on imported refined petroleum products.
The private placement attracted participation from a broad group of institutional investors, including financing support from the Africa Finance Corporation (AFC) and an investment vehicle facilitated by the African Export-Import Bank (Afreximbank). The strong investor response reflects growing international confidence in Nigeria’s downstream petroleum sector and the refinery’s ability to generate long-term value.
The successful fundraising also comes ahead of the refinery’s planned Initial Public Offering (IPO) on the Nigerian Exchange (NGX), expected later in 2026. Market analysts estimate the refinery could be valued at approximately US$40 billion, making the listing potentially the largest IPO in African history. The oversubscribed private placement is widely viewed as a strong endorsement of the refinery’s commercial prospects ahead of its public market debut.
Since reaching full commercial operations, the Dangote Refinery has become a critical component of Nigeria’s energy infrastructure, helping reduce the country’s reliance on imported petroleum products while expanding exports of refined fuels to African and international markets. The refinery has also emerged as one of the world’s leading exporters of aviation fuel, further strengthening Nigeria’s role in the global energy value chain.

Industry observers believe the transaction represents a milestone for African capital markets, demonstrating that large-scale infrastructure projects on the continent can attract significant private investment. The successful fundraising is expected to accelerate industrialisation, enhance energy security, support foreign exchange earnings through exports, and reinforce Nigeria’s position as a regional refining hub.
